Welcome to ZAY. These Terms & Conditions ("Terms") govern your access to and use of the ZAY mobile application, website, and related services (collectively, the "Services").

By creating an account, accessing, or using ZAY, you agree to be legally bound by these Terms. If you do not agree with any part of these Terms, you should not use our Services.

1. About ZAY

ZAY is an online fashion marketplace that connects customers with independent fashion retailers. ZAY facilitates browsing, purchasing, payment processing, AI-powered Virtual Try-On experiences, and order delivery.

ZAY is not the manufacturer of products sold through the platform. Products are offered by independent merchants.

2. Eligibility

To use ZAY, you must:

• Be legally capable of entering into binding agreements under applicable law.
• Provide accurate and complete registration information.
• Maintain the confidentiality of your account credentials.
• Use the Services only for lawful purposes.

You are responsible for all activities conducted through your account.

3. User Account

When creating an account, you agree to:

• Provide accurate and up-to-date information.
• Keep your password secure.
• Promptly update any changes to your personal information.
• Not impersonate another individual or organization.
• Not create multiple fraudulent accounts.

ZAY reserves the right to suspend or terminate accounts that violate these Terms.

4. Orders

When placing an order:

• You agree that all information provided is accurate.
• You authorize ZAY to process your order.
• Orders are subject to product availability.
• Prices displayed at checkout are the prices applicable to your purchase.

Submitting an order does not guarantee acceptance. An order is considered accepted once confirmed by the seller.

5. Pricing

Prices displayed within ZAY are determined by individual merchants. While we strive to maintain accurate pricing, errors may occasionally occur.

If an obvious pricing error is identified before shipment, ZAY or the merchant reserves the right to cancel the order and issue a refund where applicable.

6. Payments

Payments are securely processed through trusted third-party payment providers, including PayTabs.

ZAY does not store credit card numbers, debit card numbers, CVV codes, or card expiration dates. Payment transactions are governed by the payment provider's own terms and privacy policies.

7. Delivery

Delivery times are estimates and may vary depending on seller processing times, courier availability, customer location, weather conditions, and other circumstances beyond our control.

To complete delivery, ZAY may share the following information with delivery partners: name, phone number, and delivery address.

Customers are responsible for providing accurate delivery information.

8. Returns and Refunds

Return and refund eligibility depends on applicable consumer protection laws, individual merchant return policies, and product condition.

Products must generally be returned unused, in their original condition, and with original packaging unless otherwise required by law.

Refund processing times may vary depending on the payment provider.

9. AI Virtual Try-On

ZAY provides an AI-powered Virtual Try-On feature to help customers visualize clothing. By using this feature, you acknowledge that:

• Images are uploaded solely to generate the requested AI result.
• Original uploaded images are not permanently stored.
• AI-generated images may be temporarily stored for up to 24 hours before automatic deletion.
• AI-generated previews are for visualization purposes only and may not perfectly represent the actual appearance, color, texture, or fit of a product.

ZAY does not guarantee that AI-generated results exactly match real-world outcomes.

10. User Content

Users may upload content including profile photos, images for AI processing, reviews, and other permitted submissions.

You retain ownership of your uploaded content. By uploading content, you grant ZAY a limited, non-exclusive license to process, display, and use the content solely for providing the requested Services.

You represent that you own or have permission to use all uploaded content. You must not upload content that:

• Violates applicable laws.
• Infringes intellectual property rights.
• Contains harmful software.
• Is offensive, abusive, or unlawful.

11. Acceptable Use

You agree not to:

• Use ZAY for illegal activities.
• Attempt unauthorized access to our systems.
• Interfere with platform security.
• Reverse engineer the application.
• Upload malicious software.
• Exploit bugs or vulnerabilities.
• Use automated bots without authorization.
• Commit fraud or payment abuse.

Violation of these Terms may result in account suspension or permanent termination.

12. Intellectual Property

All rights, title, and interest in the ZAY platform, including but not limited to software, logos, branding, user interface, graphics, designs, text, and features, are owned by ZAY or its licensors and are protected by applicable intellectual property laws.

You may not reproduce, modify, distribute, or exploit any part of the Services without prior written permission.

13. Promotions

From time to time, ZAY may offer promotional discounts, coupons, referral rewards, and limited-time offers. Promotions may have expiration dates, be limited to specific products, or be withdrawn or modified at any time.

Promotions cannot be exchanged for cash unless required by law.

14. Account Suspension and Termination

We reserve the right to suspend or terminate accounts that violate these Terms, engage in fraudulent activity, abuse promotional programs, harm other users, or threaten platform security.

Termination may occur without prior notice where necessary to protect the platform or comply with legal obligations.

15. Disclaimer

The Services are provided on an "as is" and "as available" basis.

While we strive to provide reliable services, ZAY does not guarantee continuous availability, error-free operation, uninterrupted access, or complete accuracy of product descriptions provided by merchants.

Product images, descriptions, sizes, and availability are the responsibility of the respective merchants.

16. Limitation of Liability

To the fullest extent permitted by applicable law, ZAY shall not be liable for indirect, incidental, or consequential damages, loss of profits, loss of business opportunities, delays caused by merchants or delivery providers, or errors in product information supplied by merchants.

Nothing in these Terms limits liability where such limitation is prohibited by applicable law.

17. Privacy

Your use of ZAY is also governed by our Privacy Policy.

18. Changes to the Services

We may add features, remove features, modify functionality, improve security, update pricing structures, or suspend certain services for maintenance. We may do so without prior notice where appropriate.

19. Changes to These Terms

We may update these Terms from time to time. The latest version will always be available at https://zaymarketplace.online/terms-and-conditions.

Your continued use of ZAY after updates become effective constitutes acceptance of the revised Terms.

20. Governing Law

These Terms shall be governed by and interpreted in accordance with the laws of the Arab Republic of Egypt, without regard to conflict of law principles.

Any disputes arising from these Terms shall be subject to the competent courts of Egypt unless otherwise required by applicable consumer protection laws.
